| Summary, etc. | "The aim of this book is to analyse the level of implementation of the Uniform act on cooperatives (Acte uniforme relatif au droit des sociétés coopératives, AUSCOOP) ten years after its enactment. The authors' analysis, conclusions and recommendations lead to two main ideas: on the one hand, the need to correct the weaknesses and inconsistencies of the Act, and on the other hand, the lack of coherence of the Act with the area’s legal environment. |

| Summary, etc. | Le présent ouvrage a pour but d’analyser le niveau de mise en œuvre de l’Acte uniforme relatif au droit des sociétés coopératives (AUSCOOP) dix ans après son entrée en vigueur. Des analyses, conclusions et recommandations des auteurs, l’on peut retenir deux principales idées. D’une part, que l’Acte contient des faiblesses et des incohérences qui méritent d’être corrigées à l’occasion d’une réforme. D’autre part, qu’il souffre d’un manque de communion avec l’environnement juridique régional. Des deux idées, il semble que la seconde ait été plus déterminante pour la faible mise en œuvre de l’AUSCOOP. À tout considérer, il faudrait envisager, d’après les auteurs, un travail de mise en adéquation du droit OHADA avec les lois sectorielles et transversales. Ainsi, il semble que l’OHADA devrait progresser vers une approche mixte harmonisation-uniformisation. En effet, si l’AUSCOOP ne définit en principe que des règles générales, c’est pour laisser implicitement compétence aux autorités nationales ou régionales de fixer les règles spéciales. Sur le plan fonctionnel, cette stratégie paraît d’autant plus appropriée que, d’un État partie à un autre, les catégories spécifiques peuvent varier." |
